About The Opportunity

This role is an Aerospace divisionally aligned role within the GKN Aerospace Legal team. The role is based at the GKN Aerospace HQ in Irving, Texas and reports to the Aerospace Senior Counsel – Aerostructures North America located in Irving, Texas.

This role is to support the Aerospace business in the Americas with respect to its legal matters, and, in collaboration with the GKN Aerospace Legal Team in Europe, to take a supporting role with respect to the European Aerospace businesses. This role shall have a particular focus on Government Contracts and Supply Chain and related contractual and legal compliance issues for all of GKN Aerospace in the Americas.

GKN Aerospace in the Americas includes:

  • GKN Aerostructures headquarters in Irving, Texas with plants in St Louis, MO, Tallassee, AL, Panama City, FL, Amityville, NY, Orangeburg, SC, Santa Ana, CA, and Wellington, KS, as well as a maquiladora shelter facility in Mexicali, Mexico; with sales over $800 million

  • GKN Engine Systems East with plants in Newington, CT, Manchester, CT, North Charlestown, NH; Cromwell, CT; and GKN Engine Systems West with plant in El Cajon, CA as well as a separate maquiladora shelter facility in Mexicali, Mexico; with sales over $600 million

  • GKN Special Products in Garden Grove, CA

  • Additional plants in Phoenix, AZ and others

The roleinvolves the following, with specific focus on the Americas:

  • Government Contracts

As part of a multifunctional team, a primary focus of this Role will be to:

  • Advise Supply Chain on all appropriate requirements under US Government Contracts

  • Assist in in implementing appropriate compliance procedures and binding supplier obligations to comply with all laws and US Government contract requirements

  • Advise Leadership, Commercial/Customer Contracts, and Finance, on all appropriate requirements under US Government Contracts

  • Strategic Advice

Supporting corporate and other strategic initiatives affecting the GKN Aerospace Division:

  • Take a lead advisory role on a range of corporate, commercial and procurement matters material to the GKN Aerospace Division’s strategic plans

  • Give legal effect to ideas coming from GKN Aerospace operational management and personnel and develop and deploy legal initiatives to further growth potential and shareholder value

  • Generate tactical commercially orientated options whilst assessing and addressing the consequences/implications of each option

  • Act as a problem solver, providing pragmatic guidance with a good sense of judgment, appropriately balancing the competing interests of facilitating business, protecting assets and limiting liability

  • Contracts Review and Approval

Sales Contracts

As part of a multifunctional team, ensure that in relation to GKN Aerospace sales contracts:

  • Bids clearly communicate the key terms and what matters to GKN

  • GKN negotiates the best possible outcome

  • The contractual obligations are clearly documented and understood by management

  • Risks are carefully assessed and addressed so that risk is balanced against reward

  • Deliverables and technical documents are understood and consistent with the commercial deal

  • GKN’s technology is adequately protected and is not at risk by onerous intellectual property provisions in the customer’s favour

  • Potential for ambiguity is minimised

  • Effective oversight is provided by the GKN Aerospace Legal function in accordance with the Contract risk management procedures agreed between GKN Aerospace Legal and the GKN Aerospace Division to ensure that risks in any material contract are identified and carefully managed including:

  • Ensuring that Gate Review presentations for contracts that are referred to GKN Aerospace Legal for review are reflective of the legal risks

  • Providing an independent review of any Material Contracts and participation in any Gate Reviews for Material Contracts

Procurement Contracts

  • Ensure that the legal part of GKN Aerospace procurement processes is efficient

  • where possible, GKN Aerospace is not taking on or retaining more risk than is necessary

  • where applicable obligations are flowed down through the supply chain

Collaboration with other GKN lawyers

  • Collaborate with other GKN lawyers around the world to procure any “local law” advice required by the GKN Aerospace contractual arrangements and facilitate that such advice is fully understood by the GKN Aerospace Executive Teams and Senior Management

  • Disputes

Advise GKN Aerospace with respect to its claims and disputes including:

  • the provision of advice on strategy and tactics in order to achieve the optimal outcome for GKN

  • ensuring that likely outcomes are understood by the GKN AerospaceExecutive Teams and Senior Management

  • managing dispute budgets

  • helping negotiate settlement with or without the aid of mediation, where possible

  • supporting the submission of any claims that are required to be reported in the Material Litigation Report

  • Corporate Strategic Projects

  • Where required support due diligence relating to any prospective GKN Aerospace acquisitions, divestments, partnerships and joint ventures and the implementation, conclusion and integration of any such strategic initiatives ensuring to the extent possible that GKN does not acquire contingent liabilities when it purchases and does not retain legacy liabilities when it sells; and

  • undertake any other corporate strategic projects as requested by the GKN Aerospace Senior Counsel-Americas and the GKN Aerospace senior leadership team

  • Export Control

  • In collaboration with the GKN Aerospace Export Control Officers / Empowered Officials and the Assistant General Counsel – Global Compliance, procure that GKN Aerospace complies with GKN policies on export control laws and to the extent there is any noncompliance support the implementation of the appropriate corrective action

  • Responsible for keeping the message alive on export control, identifying any common themes and supporting improvements implemented by Export Control group to deal with consistently arising issues

  • Legal Compliance

  • Support the Group’s and the GKN Aerospace Division’s compliance programme, including the provision of training and implementation of policies and procedures

  • Direct role in assuring GKN Aerospace Supply Chain and operational compliance with US Government Contract compliance requirements, as noted above

  • Seek to recognise a problem before it becomes an emergency

  • Train senior management teams on Anti Bribery and Corruption, Anti Trust and Export Control

  • Provide advice on legal and regulatory matters (including environmental, health and safety and product liability issues)

  • Identify risks; develop and implement continuous improvement plans to address such risks

  • Support GKN’s compliance programmes

  • Investigate any compliance issues, as may be requested from time to time

  • Labor and Employment – for certain locations

  • Manage outside counsel advice

  • Union contracts (3 out of 19 locations are currently union)

  • General employment advice with appropriate reliance on outside counsel

  • Support GKN Aerospace functional leads on other material legal matters (including on health and safety, property and environmental matters , HR matters, ensuring employment contracts are fit for purpose and in relation to employment disputes and employee compliance and Union matters)

Oversee the corporate administration for GKN Aerospace companies in the Americas

  • Provision of Training and Self Help Tools

  • Support the GKN Aerospace Divisional General Counsels in the deployment of initiatives such as training, self-help and risk management tools in support of the Aerospace Divisional strategy to take risk carefully managed

  • Cascade contracting best practice within GKN Aerospace by training and leading by example

  • Functional Alignment

  • Keep the GKN Aerospace Senior Counsel-Americas apprised of material matters so that there is adequate insight to the material matters

  • Keep coordinated with the other GKN Aerospace lawyers and the Assistant General Counsel – Global Compliance

  • Develop GKN Aerospace specific know how and precedents


The candidate will be a first rate commercial lawyer who combines strategic acumen with the attention to detail and expertise that will set minds at rest. He or she will be able to the GKN Aerospace Division, being possessed of the ability to sum up complex issues and provide guidance on decision-making while being mindful of the commercial stakes involved. He or she will be able to priorities effectively, and to optimise ways of working.

  • J.D. from an accredited law school, with a valid license to practice in Texas or another State.

  • 3+ years’ experience as a licensed attorney;

  • 1+ year US government contracting and compliance experience, including applied knowledge of ITAR and export control compliance;


  • the ability to win the confidence of key individuals through a commercial and pragmatic approach, offering innovative ideas and solutions - able to win people over, rather than directing people what to do;

  • an approachable personal style with the ability to communicate at all levels across the organization and build strong internal and external relationships;
